Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Lead4Pro AI website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Lead4Pro AI provides digital marketing services including but not limited to: Google Ads setup and management, website creation, SEO, AI automation, and social media marketing (collectively, "Services"). The specific scope, deliverables, and pricing of each engagement are defined in individual service agreements or proposals sent to clients.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our services. By using our services, you represent and warrant that you meet these requirements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and up-to-date information about your business
• Grant us necessary access to platforms, accounts, and tools required to deliver the services
• Review and approve deliverables in a timely manner
• Pay all fees as agreed in your service agreement
• Comply with all applicable laws and platform policies (Google Ads, Meta, etc.)

4. Payment Terms

All prices are listed in Canadian Dollars (CAD) unless otherwise specified. Payment terms are outlined in your individual service agreement. One-time setup fees are due upon engagement confirmation. Monthly recurring services are billed in advance on a monthly basis.

We reserve the right to suspend services for accounts with overdue payments. A late payment fee may apply after 14 days past due.

5. Cancellation & Refunds

• One-time services (website creation, ads setup, AI automation): Non-refundable once work has commenced. You may cancel before work begins for a full refund.
• Monthly services (Ads management, SEO, Social Media): You may cancel at any time with 30 days' written notice. No refunds are issued for partial months.
• Strategy calls: Free strategy calls may be cancelled or rescheduled up to 24 hours in advance.

6. Intellectual Property

Upon full payment, you own all deliverables created specifically for you (website designs, ad copy, content). Lead4Pro AI retains ownership of proprietary tools, templates, processes, and methodologies used to deliver services.

You grant us a limited, non-exclusive license to use your brand assets (logos, images, business information) solely for the purpose of delivering the agreed services.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service agreement.

8. Results & Performance

While we strive to achieve the best possible results for our clients, Lead4Pro AI does not guarantee specific outcomes (e.g., number of leads, rankings, or revenue). Digital marketing results depend on many factors outside our control including market conditions, competition, and client responsiveness.

9. Limitation of Liability

To the maximum extent permitted by law, Lead4Pro AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our services. Our total liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Lead4Pro AI, its officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

11. Third-Party Platforms

Our services may involve third-party platforms such as Google Ads, Meta, and others. You acknowledge that these platforms have their own terms of service, and Lead4Pro AI is not responsible for changes to their policies, fees, or functionality that may affect service delivery.

12. Termination

Either party may terminate a service agreement with written notice. Lead4Pro AI reserves the right to immediately terminate services if a client engages in fraudulent activity, violates platform policies, or fails to pay outstanding invoices.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Montreal, Quebec.

14. Business Entity

Lead4Pro Inc. is a registered business operating under Québec enterprise registration number 9572-3201 Québec inc.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify existing clients of material changes. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
